The instant he dies, a small succession war is likely to break out. It could have happened that some involved party would have looked at the Starks and Tullies as potential allies... They would stand to gain nothing as long as Walder was still alive. Not to mention if the Starks were somehow able to reward this random Frey and put him in power or something the other Freys would likely try to kill him. Ones that would have were sent away though and the late Walder was the glue that them together. But yeah that's a rather big problem with this idea.
